Ann Marie McGovern

Ann Marie McGovern is Associate General Counsel and Director of Subsidiary Governance (Canada & International) at BMO Financial Group.  She is responsible for developing, socializing and executing BMO’s subsidiary governance strategy for the Bank’s legal entities in Canada, Europe, Asia and the Caribbean.  In addition, she provides transactional support for BMO Financial Group’s corporate reorganizations and other transactions. In 2017 and 2018, Bank of Montreal was awarded the Governance Professionals of Canada’s Excellence in Governance Award for Best Practices in Subsidiary Governance.

Ms McGovern previously was Senior Counsel and Senior Manager Compliance in the Subsidiary Governance Office (“SGO”) of BMO Financial Group.  She was responsible for ensuring all regulatory and related risks originating from the SGO of the Bank and its Canadian and foreign subsidiaries (non-US) were properly identified and managed.   She was also responsible for managing projects and reviewing transactions to support the responsibilities of the SGO.

Prior to her role in the SGO, Ms McGovern was the Senior Manager, Taxation – Capital Markets and was the BMO Tax Department’s relationship manager for the Capital Markets Group. She was responsible for Canadian and foreign (non-US) income tax planning.  She partnered with various lines of business in Capital Markets to develop, structure and market innovative trades and funding structures for both domestic and international clients.

Ms McGovern is also an adjunct law professor at Osgoode Hall Law School where she has taught courses on business associations.

Prior to joining BMO Financial Group, Ms McGovern was a senior associate in the Tax Group at Torys LLP where she provided Canadian income tax advice on domestic and international corporate transactions including domestic and cross-border reorganizations, financings, mergers and acquisitions and securities transactions.  She also provided tax advice to investment funds and developed tax-effective investment management products, innovative fund structures and structured products.

Ms McGovern also was an associate at Heenan Blaikie LLP and Ogilvy Renault LLP in their respective Taxation Groups

Ms McGovern holds a Master of Laws (Taxation) from Osgoode Hall Law School and earned a Bachelor of Laws (Area of Concentration in Taxation) from The University of Western Ontario.  She earned a Bachelor of Arts and Science and Economics from McMaster University.  She holds a General Accounting Certificate from the University of Toronto and has completed the Derivatives Fundamental Course and Canadian Securities Course from the Canadian Securities Institute. Ms McGovern was called to the Ontario Bar in 1995.
