Advanced Business Law Workshop II: Mergers & Acquisitions

The Advanced Mergers and Acquisitions Workshop draws together various aspects of securities and corporate law under the broad title of “M & A.” Through an interactive workshop format, students learn to apply their knowledge by analyzing typical problems that confront a business lawyer involved in M & A transactions. The workshop emphasizes public companies and examines hostile and negotiated take-over bids; defences; corporate reorganizations; going private and related party transactions; private agreements of purchase and sale; and related aspects of competition law and corporate governance.

In-class exercises and assignments emphasize practical skills and strategic considerations. Students will also develop insight into broader theoretical and ethical considerations that confront a business lawyer.

The class meets weekly for a three-hour session at the offices of Davies Ward Phillips & Vineberg LLP in downtown Toronto.
