This course provides an introduction to the laws governing the predominant forms of business organization in Canada, including sole proprietorships, partnerships, and corporations. The focus of the course will be on corporations. It will cover topics such as the creation and organization of the corporation, the corporation as a distinct entity from its shareholders, pre-incorporation contracts, corporate capital structures, directors’ and officers’ duties, and shareholders’ rights and remedies. The course will also examine theoretical and comparative perspectives of corporations and discuss topical corporate governance and corporate responsibility issues. Classes will be conducted in a highly participative manner, often focused on discussion and application rather than a solely lecture-based approach. All students will be expected to come prepared to each session and to contribute regularly to class discussions and the group project. Some assignments and course components may consist of video recordings and/or may be conducted online.
